DESCRIPTION:
- Seeking individuals who know the external world, who have a deep knowledge of science and who will bring the last piece to a set of activities from scouting to evaluation and finally to Alliance structuring and contract negotiation. Two groups are responsible for the contracting and P&I activities, one in the US and one in Europe. Those two groups will work closely, sharing the same processes and interfacing in the same way with all the R&D units. The mission of the contracting and P&I teams will be dual:
- establishing well structured deals with appropriate terms in full adequation with the needs of the R&D units,
- and bringing their expertise to various groups within PSI or even beyond in the context of specific missions.
- The essential function of the Contract Management – Transaction specialist will be to enter the executed deals between R&D units and client partners into a global contracting database. The task consists to identify the contractual obligations and rights of each deal, classify them into provision categories, then summarize the key provisions into a legal writing in plain English and finally enter them into a global contract database. The deals include technology licensing, and sponsored research agreements. The candidate should be independent, self-driven, highly motivated and well-organized in order to meet his goals.
EXPERIENCE AND QUALIFICATIONS:
- Ability to understand the basic and more complex terms and conditions of agreements (intellectual properties provisions, publication language, long-term obligations, etc…)
- Excellent English writing skills and straight thinking for legal writing in plain English
- Demonstrating ability to work with different database software and willingness to learn and master it.
- Motivation for law, high intelligence, superior analytical and critical thinking, curiosity, persistence, realism, flexibility, independence and self-discipline
- Act in confidential capacity with sensitive information
- Master degree in law or equivalent.
- Relevant experience such as in the field of corporate law or in the field of R&D contracting for the pharmaceutical industries is a pre-requisite.
- Excellent English language skills; both oral and written.
- French language skills is a plus.

2) Senior Corporate Counsel – 3 month contract (New Jersey) 503
DESCRIPTION:
- Contract drafting, review, negotiation.
- Experience in drafting and negotiating commercial contracts, CDAs, MTAs, manufacturing and supply agreements required.
EXPERIENCE AND QUALIFICATIONS:
- Major law firm and/or in-house pharmaceutical experience totaling 7-10 years.
- Experience/understanding of the Federal Food, Drug & Cosmetic Act and corresponding regulations and health care fraud and abuse preferred.
- JD accredited
